“VIPDC” refers to the owner of the website VIP Discounts Club Corp., located in Chicago, IL. The purpose of our service is to find deals for our members and customers for our vendors. Members are classified as people who use VIPDC to find deals. Vendors are businesses which provide the deals. We work only with local businesses, whether it is a small (Mom and Pop) business or a big box store from a national chain.
“You” and “yours” refer to Members and Vendors of VIPDC. “We,” “Us,” “our” or "Services" refer to VIPDC.
“Content” refers to logo, texts, photographs, pictures, designs and other information and content contained in our site.
“Vendor’s Content” refers to anything Vendors post on our site or in messages to the Members."
“Deal” and “Deals” refers to merchandise and services offered to or delivered to Members by Vendors.
“Service” refers to our work, including hosting a website aimed to find Deals for Members and contact them with Vendors who will provide these Deals.
Terms of Use is a legally binding agreement made between you, whether personally or on behalf of a business, and VIPDC. It includes the terms, the rules and the guidelines of acceptable behavior to which you must agree in order to use our Service. These Terms constitute the complete agreement between you and VIPDC regarding the Service.
You agree that you have read, understand, and agree to be bound by the Terms of Use and will comply with all the particular guidelines contained in this document.
If you are registered as a Vendor on behalf of a business, you warrant that you have authority to accept the Terms of Use on behalf of that business.
If you do not agree with Terms of Use, you are prohibited from using the Service and must immediately stop using it.
We may deny, at our discretion, service to anyone who does not follow the Terms of Use. If we cancelled or deactivated your membership or Vendor’s account, you are prohibited from use of the Service in the future.
You warrant that you will not use the Service for any purpose that is unlawful or prohibited by the Terms of Use.
You agree to comply with all applicable federal, state, or local laws, regulations or orders regarding the goods or services you buy or sell using the Service, and you warrant that you will not use it for any purpose that is unlawful or prohibited by the Terms of Use.
You agree not to violate or attempt to reduce the speed of operation of the site or violate its security, including, but not limited to: sending or attempting to send harmful data, information or files, which includes, but is not limited to: excessive scripts, large and unnecessary files, viruses, "bots," Trojan horses, time bombs, worms, overloading, “flooding,” “spamming,” “mailbombing,” or “crashing” the site in those attempts.
You agree not to violate any proprietary rights of a third party, including, but not limited to: patents, copyright, logos, trademarks, service marks, privacy, right of publicity, intellectual property rights.
We are doing our best to moderate the Deals, and we are not responsible for violation of the Terms of Use by Members or Vendors.
You warrant not trying to avoid VIPDC’s moderation systems and procedures.
You warrant not to discriminate on the grounds of race, religion, national origin, gender, disability, age, marital status, sexual orientation or refer to such matters in any manner prohibited by law.
You warrant not to solicit personal information from minors, order or offer pornography.

You agree that you use the Service at your own risk, without warranties of any kind from Us. We are not liable for any damages resulting from: 1. Members’ and Vendors’ content, conduct, and their use of the Service. 2. Dysfunctions of the site caused by viruses or problems with software and equipment.
The Content is owned by VIPDC or its content suppliers. It is protected by United States and international copyright, trademark, and other laws. Unless noted otherwise, you may not copy, sell, transfer, reproduce, distribute, republish, display, post, or transmit Content without the prior written consent of VIPDC or the respective owner.
By using the Service, Vendors allow us to display, copy, and distribute their content and use it for creative derivative advertisement materials, as long as our content is not promoting the competition of the Vendors.
Vendors are solely responsible for the reliability of their Vendor Content, including any violations of the rights of the Third Party.
By using the Service, you represent and warrant that you are at least 13 years old. Any use of the Service by anyone under the age of 13 is strictly prohibited.
If you are looking for a Deal that includes alcoholic beverages, you represent and warrant that you are at least 21 years of age and must present a government-issued identification card with information about your age. It is the responsibility of Vendors to check these identification cards of Members.
In a case in which we find out that you violated alcohol beverage laws, including, but not limited to: misrepresentation of age and procuring alcoholic beverages for person(s) under age 21, VIPDC reserves the right to report your actions to law enforcement authorities.

To provide you with Services, VIPDC may communicate with you via telephone and electronic messages, including emails, texts (SMS and MMS).
Members and Vendors have to register to use the Service. When registering, you are obligated to provide Us with current, reliable and relevant information. You warrant that all information provided to VIPDC is accurate and complete. You shall always keep this information up to date.
Membership is free and We provide free service for our Members.
You agree tha , VIPDC may not always be able to find Members the Deals they are looking for. In search of a Deal for a Member, We approach all Vendors who may provide such a Deal and ask for information regarding the cost of the Deal. We do not communicate these prices to anyone but to the interested Member. We cannot stop Members from passing this information to other people and businesses, including, but not limited to, other Members and Vendors. VIPDC and Members who revealed these prices are not liable for any disadvantages and losses which other Vendors can incur by such disclosures.
In the case that the Vendors have increased their price for Deals, run out of merchandise, or cannot provide a service they shall immediately inform Us about such changes. Frequently regular prices of one Vendor are competitive with discounted prices of another Vendor. Therefore, Vendors can provide Us with their regular prices.
Vendors are responsible for having all business, professional and other licenses and certificates required for their work. We check them, but we also recommend Members to carry out their own investigation to decide if the Vendor is qualified to provide them with the Deal (includes, but is not limited to: health care and wellness providers).
We do not participate in financial transactions between the Vendor and the Member. The Vendor and the Member are responsible for financial transactions between them. The Vendor is solely responsible for the availability, quality, and time of delivery of the Deal to the Member. Members and Vendors agree that VIPDC shall not be responsible or liable, directly or indirectly, for any loss or damage of any sort incurred as the result of offering, cancelling, rescheduling or purchasing the Deal.
Vendors represent and warrant that they do not distribute any advertisement about other goods and services (besides Deal information sought by Members) without the consent of the Members. However, Vendors may offer to Members similar merchandise or service.
Vendors are prohibited from sending to Members unsolicited, unauthorized or bulk E-mails, junk mail, engage in keyword spamming, spam telephone calling or texting and any other form of solicitation.

VIPDC may, at its discretion, modify these Terms of Use at any time. Your use of the Service after such modification means that you agree to these changes. You should periodically visit the Terms of Use to review them.
VIPDC may at its discretion, terminate or restrict your access to the Service at any time for any or no reason, effective immediately, and without notice.
You may terminate your use of Service on the condition that all of the provisions of the agreement remain in power, including, without limitation, ownership and disclaimers.
Members and Vendors expressly understand and agree that, since they are voluntarily receiving access to the Service, they cannot pursue any damage claims related to their use of the Service. Under any circumstances VIPDC shall not be liable for any damages, indirect, incidental, special, punitive, compensatory, consequential or exemplary damages resulting from the use of our Service. Some of the foregoing limitations may not apply to you in the jurisdictions where limitations of liability are not permitted.
The Terms of Use and any Claim, cause of action, demand or dispute between VIPDC and you will be governed by the internal laws of the state of Illinois without regard to conflict of law provisions, except to the extent governed by US federal law.
You agree that any subpoena, third-party discovery request, or other third-party process directed to VIPDC must issue from, or be disseminated by the state or federal courts located in Chicago.
You agree to submit to the personal jurisdiction of these courts for any related proceedings.
You agree indemnify, defend and hold VIPDC harmless from any claims, losses, liability, or expenses (including attorneys' fees) that arise from a third party and relate to your use of the Service.
You agree that VIPDC not be liable and responsible for any Claims we may have against your employees, agents, affiliates, or any other party, directly or indirectly, paid, directed or controlled by you, or acting for your benefit.

We do not automatically collect information about Members or Vendors by using cookies, location-identifying technologies, embedded scripts, web beacons, file information, and any other tracking devices.
We share with Vendors only first and last names of Members when Vendors need to know them to deliver you the Deal. We do not share Members or Vendors information with anyone else.
We do not use cross-marketing and affiliate marketing and forbid Vendors to engage in such activities.
We do not send to Members unsolicited offers, interest-based ads, push notifications and any other unsolicited communications for marketing purposes and forbade Vendors to engage in such activities.
We and our web site host and card processor are using multiple layers of protection to safeguard Members and Vendors information by electronic, physical and procedural means.
Our website receives regular PCI compliant security scans to find vulnerabilities and security holes.
In the event that any information under our control is compromised as a result of a breach of security, VIPDC will take reasonable steps to investigate the situation and, where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.
If You close your account, VIPDC will no longer use your personal information. We may, however, retain a copy of the information to avoid identity theft or fraud.
VIPDC is in compliance with the requirements of COPPA (Children’s Online Privacy Protection Act). The Service directed to people who are at least 13 years old or older.
VIPDC reserves the right to disclose your personal data as required by law in response to lawful requests by public authorities, including judicial proceeding and court order.
